Last updated: [client to confirm date]. This is a working draft prepared for review — please have it checked by your legal advisor before the site goes live.
1. Who these terms are between
These terms govern your use of this website and the brokerage services provided by SC Business Broker, part of the Savitskiy Consulting group [client to confirm the registered legal entity name, company number and registered address]. In these terms, “we”, “us” and “our” refer to SC Business Broker, and “you” refers to a business owner, buyer or investor using our website or services.
2. What we do
We act as a cross-border business broker for the sale and purchase of businesses in the United Kingdom, the European Union and Ukraine. Depending on what you engage us for, this may include preparing and packaging a business for sale, presenting it to buyers, running a buy-side search against your criteria, and supporting both sides through to completion.
We are intermediaries. We are not a party to the transaction between a seller and a buyer, and we do not take ownership of any business offered through us.
3. Engagement
Nothing on this website is an offer capable of acceptance. A working relationship begins only when a separate written mandate is signed between you and us. That mandate, not this page, sets out the specific scope, exclusivity and duration that apply to your instruction.
4. Fees
- Our commission is 3–10% of the deal value, and it is payable only on the result — that is, only from money you have actually received on completion.
- There are no upfront fees for a standard sell-side mandate.
- A paid buy-side mandate, where we actively search against your criteria, may carry a retainer that is credited back into the commission [client to confirm the current retainer terms].
- The exact percentage applicable to your instruction is fixed in your mandate.
5. Your right to exit
You may terminate your mandate at any time, without penalties. Any commission already earned on a transaction that has completed remains payable.
6. Confidentiality and the blind profile
A business offered for sale through us is published to the market as a blind profile that does not name the company. The name and identifying details are disclosed to a buyer only after that buyer has been verified and has signed a non-disclosure agreement. If you receive confidential information from us, you may use it solely to evaluate the transaction in question.
7. No guarantee of outcome
We do not guarantee that a business will be sold, that a buyer or a target will be found, that any particular price will be achieved, or that a transaction will complete within any particular period. Any timeline, valuation range or estimate we provide is an informed opinion based on the information available at the time, not a promise.
8. Information you provide
You are responsible for the accuracy and completeness of the information you give us about a business, and for holding the rights to share it. We rely on that information when preparing materials and presenting an opportunity, and we do not independently audit it unless you have separately engaged us to do so.
9. Not professional advice
Nothing on this website or in our materials is legal, tax, accounting or investment advice, and it should not be relied on as such. You should take your own professional advice before entering into any transaction. Listings and materials are provided for information only, and any figures shown are supplied by the seller unless we state otherwise.
10. Intellectual property
The content of this website — text, layout, graphics and the catalogue as a compilation — belongs to us or our licensors. You may view and print it for your own use in evaluating our services. You may not republish, resell or systematically extract it without our written permission.
11. Liability
Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, opportunity or anticipated savings arising from the use of this website or from a transaction you decide to enter into [client to confirm the liability cap with your legal advisor].
12. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction [client to confirm, given that we also operate in the EU and Ukraine].
13. Changes
We may update these terms from time to time. The version published on this page at the moment you use the website is the version that applies.
